Is your OPC actually on the hook for annual compliance this year?
If your entity is registered as a One Person Company anywhere in Tamil Nadu, annual compliance applies to you regardless of turnover, revenue or whether you did any business at all this year. There is no small company exemption that lets an OPC skip AOC-4 or the statutory audit, and Tamil Nadu offers no local relaxation either.
The first financial year matters here. A company incorporated after January 1 usually gets its first year extended to the following March 31, which pushes out your first AGM notional date and, with it, your first MGT-7A. When exactly does this fall due, and how do we count toward it?
AOC-4 is due 180 days from the end of your financial year, which for a March 31 close works out to late September. MGT-7A follows a different clock: 60 days from the notional AGM date of September 30, landing in late November.
The counting starts from the financial year end for AOC-4, and from the fixed September 30 date for MGT-7A, not from when your audit finishes. That means a delayed audit eats directly into your filing window rather than pushing the due date itself. Your income tax return, filed as ITR-6, follows the tax audit calendar and typically falls at the end of October for companies that need an audit, which every OPC does.
