Which registrar will your company actually file with?
Since 16 February 2026, company jurisdiction in the region is split under MCA notification S.O. 4850(E). ROC Mumbai-I covers registered offices in the two districts of Mumbai City and Mumbai Suburban, which together are exactly the BMC area. ROC Mumbai-II, seated at Navi Mumbai, covers everything else in the region, including Thane, Kalyan, Vasai Virar and Panvel, and reaches out to districts as far as Nashik.
The two way test is simple. Inside BMC limits, you file with Mumbai-I. Outside them, you file with Mumbai-II. A Powai or Worli address therefore answers to the first registrar; an office in Vashi or Thane answers to the second. Older guides still describe a single ROC for the city, and filings addressed on that assumption reach the wrong desk. Everything moves on the MCA V3 portal, so nobody visits either office, but the reviewing registrar decides who raises queries on your SPICe+ and who examines your registered office proof.
One more consequence catches founders later. A registered office move that crosses the boundary, say Mulund to Thane, now shifts the company between registrars. That shift needs a special resolution and Regional Director confirmation on Form INC-23, where the same move once needed only Form INC-22. Which documents does a Mumbai incorporation need?

What does a new Mumbai company owe in its first weeks?

- INC-20A, the declaration of commencement of business, files on MCA V3 before the company starts operations, and the first invoice should wait for it.
