Does Director Removal Apply to Your Company This Year?
Any Private Limited Company or One Person Company in Delhi NCR must file DIR-12 the moment a director's position changes. That applies whether the director resigned voluntarily or shareholders voted them out. Section 169 of the Companies Act, 2013 lets shareholders remove a director before their term ends through an ordinary resolution. A Section 169 removal has a second clock too. The special notice must reach the company at least 14 days before the meeting where the resolution gets voted on. Miss either window and a straightforward filing turns into a late one. The additional fee only climbs the longer it sits unfiled.
