Can we rename the company and keep the same CIN, and does ROC Pune have to sign off on it? The CIN stays exactly as it is, and yes, the approval comes from ROC Pune. A Maharashtra company's CIN carries the Maharashtra state code, and the code tracks the state rather than the registrar, so a rebrand never touches the number. What changes is the name on the Certificate of Incorporation, and then the name on every Pune registration that quotes it. Allow 7 to 10 working days for the MCA leg and a few weeks more for the trail behind it.
Does your company actually need this filing, or something else?
A name change under the Companies Act is about the registered name, the one printed on the Certificate of Incorporation. A trading style on your packaging is not that name. If a Baner label never went on the MCA register, the answer is a trade mark application, not INC-24.
Two things stop the filing before it starts. The registrar will not clear a name change for a company sitting on unfiled annual accounts or annual returns, so an AOC-4 or MGT-7 backlog goes in first. A company in default on matured deposits or debentures is barred on the same footing until it repays.
Settle also whether the change is voluntary. Where it follows a direction to correct the name, the timetable is not yours to set and the resolutions read differently.
What do we need from you before the board meets?
The file is only as good as the intake. For a corporate services office on leased premises at Kharadi, this is the list we ask for.
- Two or three name options in order of preference, with the object clause each one has to sit against
- The shareholding pattern, because the special resolution needs holders of at least 75 per cent of the votes cast
- A working DSC for the signing director and the DIN of every director on the board
- The current MOA and AOA in editable form, since both are altered and both go up as attachments
- The registered leave and licence agreement for the premises, which names the company as it stands today
- A list of everything carrying the old name: GST, profession tax, the establishment certificate, the bank, IEC where you export
We check each proposed name against the MCA register and against the trade mark database before anything goes in. If the rename follows a conflict with a mark, that side of it runs through the Trade Marks Registry office at Mumbai, which takes Maharashtra applications.
Which dates actually bind, and in what order?
Three clocks run on this filing and they do not run together.
The reserved name is live for 20 days from approval. That window has to cover the board meeting, the notice for the general meeting, the resolution itself and the INC-24 filing. So we fix the meeting calendar before the RUN application goes in, not after.
MGT-14 carries the certified special resolution and the altered memorandum to the registrar, and it is due within 30 days of the day the resolution passes. INC-24 is the application proper and it rides on top of that.
Then the Maharashtra trail opens. Registration of a shop or office establishment here runs under the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017, which extends to the whole of the State of Maharashtra. Changes must be notified online and a fresh certificate issues. The profession tax certificates on mahagst.gov.in are amended on their own applications, and the GST core field amendment goes to whichever officer holds your file.
What does a slipped step cost you?
Nothing here carries a headline penalty the way a late annual filing does. What it carries is rework, and rework is expensive because the reservation clock does not stop for it.

Where does INC-24 land, and who looks at it afterwards?
INC-24 is filed on the MCA portal and there is no counter to visit. For a company whose registered office is in Pune district the reviewing office is ROC Pune. It carries its own heading on MCA's registrar page, with a named Registrar behind it.
That is worth stating plainly. Maharashtra went from two registrars to four in February 2026, and a good deal of what is written about it reads as though everyone moved. ROC Pune was not part of that split. Nothing was required of a Pune company then, and nothing about a rename goes elsewhere because of it.

We confirm the registrar for your specific address before filing, because the registered office decides it and nothing else does. Above the registrar sits Western Region Directorate II, headquartered at Navi Mumbai, which is where Regional Director matters go if you later shift the registered office out of the district.
