Miss the thirty day window on Form DIR-12 and MCA begins charging an additional fee that climbs the longer the form stays unfiled. The Registrar can also treat the appointment as defective, which puts every resolution that director signed in the meantime in doubt. The correction is ordinary work. Get the DIN and the written consent in place, pass the resolution properly, and file inside the window. What follows is how that runs for a company whose registered office sits in Pune.
Which appointments need a DIR-12, and which do not?
Every company incorporated under the Companies Act 2013 uses the same form. A private limited company in Pimpri, a one person company run by a consultant in Kothrud and a listed public company all report a board change on DIR-12. The trigger is the appointment itself and not the financial year, so an appointment approved in July is reported in July rather than bundled into the annual filing.
Three routes reach that one form. The board may appoint an additional director, who then holds office only until the next annual general meeting. The members may appoint a director by resolution at a general meeting. A director already on the board may have their recorded particulars corrected. Each of those is a DIR-12 event.
Two situations are not. A limited liability partnership changes a designated partner through its own LLP form and never touches DIR-12. A person who is only an authorised signatory, a manager or a paid advisor is not a director at all, so nothing goes to the Registrar for them.
What do we need from you before the clock starts?
The thirty day count runs from the date of appointment, not from the day somebody finds the paperwork. So the inputs matter more than the form does.
- PAN and either Aadhaar or passport for the incoming director, with the address proof matching whatever the DIN record already carries.
- A specimen signature, a recent photograph, the personal email address and the mobile number that will receive the MCA one time password.
- The existing DIN where the person already sits on another board, so its status can be checked before the form is opened.
- A digital signature certificate for the incoming director, and a working one for the existing signatory who will sign the DIR-12.
- The notice, the agenda and the intended date of the board meeting or general meeting at which the appointment is being put.
Where the person has never held a DIN, that application runs first and adds a day or two to the engagement. Where the DIN exists but the annual KYC was skipped, the number may sit deactivated, and no form will accept a deactivated DIN.

Sequence matters more here than the dates do. The DIR-2 consent is a condition of the appointment rather than a consequence of it, so a consent signed afterwards leaves a gap that a later auditor or buyer will find. The MBP-1 disclosure lives in the minute book instead of on MCA, which is precisely why it gets forgotten.

The additional fee is usually the smaller problem. MCA master data is public, and a Pune company that raises money, bids for a large contract or sells a stake will have that page pulled by the other side. A director missing from it, or one carrying a date that contradicts the minute book, stalls diligence for weeks. Corrected early it costs one filing. Corrected during a transaction it costs the timeline.

Who receives the DIR-12, and what happens after the SRN?
A company whose registered office is in Pune files with ROC Pune. ROC Pune is the registrar for Pune and the districts around it. The February 2026 restructuring named districts only for the other Maharashtra registrars and left ROC Pune untouched, so a Pune company stays with ROC Pune exactly as before.
