The document that decides how a Bengaluru Digital Signature Certificate goes is the PAN card, and specifically the name printed on it. A licensed Certifying Authority writes that name into the certificate character for character. The MCA record it will later sign against carries its own version of the same name. When an initial is expanded on one and dropped on the other, the token works perfectly and the form still bounces. We read that single line before anything is submitted.
Everything after it is process. A Class 3 certificate is issued under the Information Technology Act, 2000 by a Certifying Authority licensed by the Controller of Certifying Authorities, and that regime is national. What is local is where you point the token: ROC Bengaluru, the single registrar for the whole of Karnataka, and the state filings that sit alongside it.
Which decision comes before you buy the token?
Four things settle what gets issued and in whose name, and all four are cheaper to decide now than to unpick later.
The first is whose certificate it is. A Class 3 individual certificate belongs to a named person and travels with them; an organisation certificate belongs to the entity and is used by an authorised signatory. Directors sign MCA forms with the first kind, while procurement portals often want the second.
The second is headcount. Every subscriber and every proposed director who signs SPICe+ needs one, and so does the professional certifying the form. Two founders and one company secretary means three tokens, not one.
The third is the validity term, one year or two. The fourth is who physically keeps the device, because a Class 3 token is personal and passing it around is not a shortcut.
Who walks in with this problem in Bengaluru:
- A Koramangala SaaS founder mid seed round, blocked because both subscribers must hold a live Class 3 certificate before SPICe+ will open.
- An Indiranagar B2B software and design studio that took on a designated partner and now needs a token issued in that partner's own name.
- A director whose certificate lapsed quietly, discovered during a DIR-3 KYC window with days left on the clock.
- A Whitefield vendor bidding on a procurement portal that wants the certificate in the company's name rather than a director's.
What does a Bengaluru applicant have to have ready?
The list is short, and almost every failure on it is a mismatch rather than a missing paper.
- PAN, which is the single source of the name that goes into the certificate.
- Aadhaar, with the mobile number genuinely linked to it, because the one time password lands there.
- A recent photograph and an email address the Certifying Authority can actually reach.
- For an organisation certificate, the entity PAN, the incorporation documents and a board authorisation naming the signatory.
One local caution worth ten minutes of your time. If your registered office is a coworking desk in Koramangala or Indiranagar, keep the owner's consent letter and a current utility bill filed together. Under section 12(9) of the Companies Act, 2013 the Registrar may send someone to look at the address in person. He may then move to strike the company off if nothing appears to be run from there.
How does the application actually run, start to finish?
- We complete the Certifying Authority's form in the exact PAN spelling, and check it against the DIN record on MCA V3 where one already exists.
- You clear mobile and email verification, then the identity verification the Certifying Authority runs against PAN and Aadhaar.
- You record a short video. We tell you what to hold up and what to say, because a dark room and a rushed sentence are the two usual rejections.
- The Certifying Authority approves and writes the Class 3 certificate onto a crypto token issued in your own name.

That is the whole run, and it takes 1 to 2 days when the documents are clean. Nobody visits a counter at any point.

Which registrar and portal actually receive what you sign?
The token signs on the MCA V3 portal, and the file lands with ROC Bengaluru. The February 2026 MCA restructuring left that registrar's territory unchanged, so one office still holds the register for the whole of Karnataka, and a company here files with the same registrar as one in Mysuru. It sits in Kendriya Sadana at Koramangala, in the same building as the Regional Director for the South-Western Region.
Look at your own identifier and the state is sitting inside it. Karnataka companies carry KA in the Corporate Identity Number, which runs to a shape like U72900KA2026PTC123456. Section 12(3)(c) of the Companies Act, 2013 then requires that number on every business letter, billhead and notice you issue. Each form it appears on is signed with this token: SPICe+ at the start, then INC-20A, ADT-1, AOC-4, MGT-7 and DIR-3 KYC in the years that follow.
None of it needs a counter visit. MCA filing is online, and the building address is an identifying fact rather than an invitation.
Which Karnataka filings land on a new Bengaluru company first?
The token opens the central filings. The Karnataka layer that follows mostly does not use it, and knowing which is which stops you buying certificates you will never plug in.
- Professional tax. Any company on the Companies Act register that carries on a profession, trade or calling owes ₹2,500 a year against an enrolment certificate, and an employer deducting from salaries holds a registration certificate as well. Section 5(3) allows thirty days from commencement, and it happens on e-Prerana.
- Shops and Commercial Establishments registration. Section 4(1) of the Karnataka Shops and Commercial Establishments Act, 1961 catches every establishment with no employee threshold, and section 4(3) allows thirty days from the day work begins. It is filed on e-Karmika and the certificate runs five years.
- Social security. Coverage no longer turns on being a factory. The Code on Social Security, 2020 puts its First Schedule test at ten or more employed persons in any establishment bar a seasonal factory, so a plain Bengaluru office qualifies on headcount.
Where the token does come back is stamping. The Karnataka Stamp (Digital e-Stamp) Rules, 2025 stand finally notified from 7 August 2025, and they let an instrument be executed digitally by an Aadhaar based electronic signature or by a Digital Signature Certificate. That is the one genuinely Karnataka use for the same device you bought for MCA V3.
