What exactly is due, and how fast does the clock run?
A company gets 15 days from the AGM to tell its registrar about the auditor it has appointed or reappointed. Hold your AGM on 29 September 2026 and the window shuts on 14 October 2026. No extension applies here, and the count does not pause for weekends.
From day 16 the meter runs at ₹300 a day. Here is what delay looks like on paper:

Which registrar actually receives your ADT-1?
This is where 2026 changed the answer. Mumbai company records now split between two offices. ROC Mumbai-I holds companies whose registered office sits in the districts of Mumbai City and Mumbai Suburban, which together are exactly Greater Mumbai, the BMC area. An office anywhere else in the wider region, including Navi Mumbai, Thane, Kalyan, Bhiwandi, Vasai Virar, Mira Bhayandar and Panvel, answers to ROC Mumbai-II at Navi Mumbai. The split took effect on 16 February 2026 under MCA notification S.O. 4850(E) dated 23 October 2025.
The working test is one line. Inside BMC limits, your record sits with Mumbai-I. Anywhere else, Mumbai-II. A textile company on a Kalbadevi lane and a fund advisory in BKC both sit under Mumbai-I, and a Mulund address does too, because Mulund falls in the suburban district. Most older guides still describe a single ROC Mumbai, and correspondence drafted on that assumption goes to the wrong office.
The form itself goes in online on MCA V3 whatever your district, against the CIN that every Maharashtra company carries with MH as its state code. The registrar question decides who holds and scrutinises your record, not where you travel to submit, because you do not travel anywhere.
What does a missed ADT-1 really cost a Mumbai company?
The rupee exposure is capped, but the cap applies per default, and officers in default can carry the liability alongside the company itself. Let the filing slip across more than one appointment and the defaults stack, each with its own meter.
The quieter cost sits in the record. Filing history against a CIN is public, and in this city it gets read. A credit officer processing a working capital proposal from a desk in Fort will pull the MCA record before sanction. A buyer running diligence on a family company will treat gaps in the compliance trail as a management question, not a paperwork question.
For the Kalbadevi textile house that ran for decades as a partnership and incorporated only recently, this is the real adjustment. A partnership never had to tell any registrar who its accountant was. A company must, within 15 days, every time the appointment is made or renewed.
Which Mumbai companies does the 15 day window bite hardest?
- The newly converted family business. A Kalbadevi textile firm that moved from partnership to private limited is running its first AGM cycle under company law. Nobody in the family has filed an auditor appointment before, and the 15 day habit does not exist yet.
- The company outside BMC limits. A warehousing operator in Bhiwandi files with ROC Mumbai-II, yet half the guides it finds online still assume one registrar for the whole region.
