A registered office that has moved in practice but not on the MCA record keeps working against the company. A notice posted to the old address is still validly served, and a bank or a tax officer can rely on it. The default carries a penalty of ₹1,000 for every day it continues, capped at ₹1,00,000, on the company and on every officer in default. The cure is ordinary work. A resolution, clean proof for the new premises, and the filing ROC Pune expects to see.
Which move is yours, and does the filing route change with it?
Three things decide the route, and only the first of them is obvious.
- A shift inside Pune city, say Baner to Kharadi, runs on a board resolution and the address filing.
- A shift to another city under the same registrar adds a special resolution of the shareholders first.
- A shift out of the registrar's territory, Pune to Mumbai for instance, needs Regional Director confirmation on Form INC-23.
- A shift to another state amends the memorandum too, and that route is set out in the national change of registered office guide.
The proviso to section 12(5) of the Companies Act 2013 is what separates the third case from the first. It bars a change from the jurisdiction of one Registrar to another inside the same State unless the Regional Director confirms it, and the section wants a special resolution as well. We settle which of the four you are in before anything is drafted, because the wrong route costs a fortnight.
What has to reach us before the resolution is drafted?
The file stands or falls on the new premises. Send the address as it will read on the record, the document that proves it, and the owner's no objection where the company does not own the place.
In Pune that document is usually a leave and licence agreement, and in Maharashtra such an agreement is compulsorily registrable under section 55 of the Maharashtra Rent Control Act, 1999. Registration of it runs online through IGR's e-Registration, so a tenant company in Kharadi or Kothrud can produce a registered agreement without an appointment at any counter.
- The registered leave and licence agreement, or the ownership document where the company owns its premises
- A recent utility bill for the new address, matching the name on that document
- The owner's signed no objection to the premises being used as a registered office
- Director details and the digital signature of the person who will sign the form
When does each step fall due?
The clocks on this job are not all the same length. The Act puts a short window on the notice of change reaching the Registrar, and we file inside that window rather than at the edge of it.
Where the Regional Director's confirmation is needed, section 12(6) sets three clocks in a row. The confirmation is communicated within thirty days of the application. The company then files it with the Registrar within sixty days of its date, and the Registrar registers and certifies the change within thirty days of that filing. Section 12(7) makes the certificate conclusive evidence, so the shift takes effect on the date the certificate carries and not on the day the desks moved.
What does a late or unfiled office change actually cost?
Money is the smaller half of this, although the money is real enough.

Late is recoverable. Wrong is expensive, because a rejected form restarts the sequence while the daily default clock keeps running.

Which office reviews the change, and what else carries the address?

The GST registration carries it as the principal place of business, the PTEC and PTRC records on mahagst.gov.in carry it, and a Shops Act certificate carries it too. That last change is notified online to the state Labour Department's Facilitator. Should a company law petition ever follow the shift, a Pune company's matters are heard by the NCLT Mumbai Bench, the bench for Maharashtra and Goa. And if the new premises are in Pimpri Chinchwad rather than Pune city, the registrar stays put while the local body over the premises changes.
