DIR-3 KYC, the form that brings a deactivated DIN back to life, is not examined by any Mumbai registrar. It is filed on the MCA V3 portal and processed centrally, so no office in the city ever touches it. The jurisdiction question still matters, just one step later. Every filing your dormant DIN is currently blocking lands at ROC Mumbai-I or ROC Mumbai-II, and those queues do not pause while you sort out your KYC.
That distinction confuses plenty of directors. Some ask which registrar office to approach for reactivation, and the honest answer is none of them. What you need is one correct DIR-3 KYC filing, the ₹5,000 government late fee, and 3 to 5 working days of patience. LegalX India handles the filing for ₹999 and tracks it until your status flips back to approved.
What exactly is due, and by which date?
Every DIN holder must complete KYC each year by 30 September, whether or not anything changed. Miss the date and MCA deactivates the DIN automatically, with no hearing and no warning letter. Reactivation is the same DIR-3 KYC filed late, with a fixed government fee attached.
| Situation | What you file | Government cost |
|---|---|---|
| KYC completed by 30 September | DIR-3 KYC on MCA V3 | Nil |
| Deadline missed, DIN deactivated | DIR-3 KYC with the late fee | ₹5,000 |
| Two or more years skipped | One DIR-3 KYC filing, not one per year | ₹5,000 in total |
| DSC expired during the gap | Fresh Class 3 DSC before the KYC | Certifying agency charges apply |
The ₹5,000 does not scale with delay, which surprises people. A director in Bandra West who missed one September pays exactly what a director who missed three pays. What scales is the collateral damage, because every month of deactivation is another month of company filings you could not sign. Filing in the first half of September, before the national rush, avoids the whole problem for active DINs.
Which registrar receives the filings your DIN is blocking?
Since 16 February 2026, Mumbai company work has been split between two registrars. A registered office in Mumbai City or Mumbai Suburban district, which together make up the BMC area, answers to ROC Mumbai-I. An office anywhere else in the wider region, including Navi Mumbai, Thane and Panvel, answers to ROC Mumbai-II at Navi Mumbai. Your DIR-3 KYC goes to neither, but the AOC-4, MGT-7 and director change forms waiting on your active DIN go to one of them.
This matters for sequencing. Directors often discover a deactivation only when a company filing bounces, and by then the company deadline is close. Knowing which registrar holds the pending work tells us how hard to push your timeline. A CIN with state code MH confirms a Maharashtra company; the district of the registered office picks the registrar, and where we sit or where you live changes nothing.
What does a sleeping DIN actually cost you?
The visible cost is ₹5,000 to the government plus a professional fee. The invisible cost is everything a director's signature normally moves. Until the DIN shows approved again, you cannot validly:
- Sign or certify company forms on MCA V3, from annual accounts to a change of registered office.
- Be appointed to any new board, because appointment filings quote your DIN and the portal validates its status.
- Stand as a proposed director in a SPICe+ incorporation, which stalls a new venture at the starting line.
- Give the signed declarations that banks and investors routinely ask of directors during credit and diligence checks.
Meanwhile the company's forms keep their own clocks, and additional fees on late filings accrue independently of your KYC problem. A fellow director can sometimes sign in your place, but many boards in Mumbai run with exactly two directors, so one deactivated DIN leaves no spare. The cheapest day to fix this is always today.
Which Mumbai boards feel a dead DIN first?
The pattern repeats across the city, but some businesses feel it faster than others.
- A restaurant and retail brand owner in Bandra West with directorships across three group companies. One missed KYC freezes all three boards at once, usually mid expansion, exactly when franchise and lease paperwork needs director sign off.
- A SaaS founder in Powai heading into a funding round, where diligence flags the deactivated DIN on MCA master data and lawyers refuse to move until it clears.
- Family run boards where a parent stayed on as director after stepping back from daily operations, so nobody watched that one compliance calendar.
- NRI directors whose Indian mobile number lapsed, so the September OTP never arrived and the KYC quietly failed year after year.
How do we run the reactivation from our side?
Our process is deliberately boring, which is what you want from compliance work.
- We pull your DIN status and the deactivation reason from the MCA V3 portal before quoting anything, because a DIN deactivated for reasons other than missed KYC needs a different route.
- A dedicated CA collects your PAN, Aadhaar, photograph and personal contact details, then checks whether your Class 3 DSC is still valid.
- We prepare DIR-3 KYC, sign it with your DSC and submit it, coordinating the two OTPs that land on your personal mobile and email during filing.
- We track the form until the status flips to approved, usually within 3 to 5 working days, and send you the updated master data as proof.
What do we need from you?
The list is short and everything moves digitally:
- PAN and Aadhaar copies that match each other, since mismatched name spellings are the most common rejection trigger.
- One recent passport size photograph in JPEG format for the MCA record.
- Your personal mobile number and personal email, never the company's, because both receive verification OTPs.
- Your Class 3 DSC if it is current, or a short verification session with us to issue a fresh one.
You never visit an office for any of this. Not ours in Vashi, not a registrar's counter. The whole chain from document check to approved status runs online, whether you sit in Mulund, Thane or outside Maharashtra altogether.
How do you keep the DIN active after this?
One filing each year by 30 September keeps the status clean, and the annual form doubles as your chance to refresh contact details on MCA records. We put every client director on a reminder list and nudge twice, early in September and again mid month. Directors of Maharashtra companies with year end filings pending should treat the KYC as the first domino, since the registrar work cannot start without it.
Why hand this to LegalX India in Mumbai?
DIN reactivation is a small engagement, so the honest pitch is accuracy and follow through. Our CA and CS team files these forms every week, which makes the rejection traps, OTP failures and DSC edge cases familiar ground. You get a fixed ₹999 professional fee, a named CA, and a callback within 30 minutes of your enquiry.
We have served 15,000+ clients over 10+ years and hold a 4.8 Google rating. More useful for a Mumbai director, we sit inside the same ecosystem as your other filings. If the deactivation has already caused late company filings at ROC Mumbai-I or ROC Mumbai-II, the same team quotes the catch up work straight away, with no fresh onboarding.
