What Has to Be Ready Before DIR-12 Can Be Filed?

- Specimen signature for the board resolution and consent forms
- Written consent to act as director, given on Form DIR-2
- Disclosure of interests in other companies, given on Form MBP-1
- The company's Certificate of Incorporation and current list of directors

When Is DIR-12 Due, and How Do You Count the Thirty Days?
The clock starts on the date the appointment takes effect, not the date you file. That could be the date of the board meeting for an additional director, or the date of the shareholders' resolution at a general meeting. From that date, you have thirty calendar days to file Form DIR-12 with the Registrar of Companies. Weekends and holidays count inside that window, and there is no extension for a public holiday falling on day thirty. A company appointing a director on the fifteenth of a month needs the filing in by the fourteenth of the following month, DIN and DSC included. Wait until day twenty five to start collecting documents, and there is often not enough runway left if the incoming director does not already hold a DIN.
