₹1,499 is the professional fee for a change of registered office in Mumbai, and it buys the resolutions, the INC-22 filing and the follow up until the registrar approves. What it cannot buy back is a form addressed to the wrong office. Since 16 February 2026 the city has two registrars, and the district of your new address decides which one reads your filing.
What is due when a Mumbai company shifts its office?
The filing stack depends on where the new address sits, not on how far the furniture travels. Three shapes cover almost every move we see.
- Same jurisdiction: a shift like Kalbadevi to Lower Parel stays with one registrar and needs a board resolution plus Form INC-22 with the new address proof.
- New city inside Maharashtra: shareholders pass a special resolution before INC-22 goes in.
- Across the registrar line or out of the state: the Regional Director enters the process, and Form INC-23 must be confirmed before the change can complete.

Which registrar reads your filing now?
Until this year there was a single ROC Mumbai, and most guides still assume it. MCA notification S.O. 4850(E) dated 23 October 2025 split the jurisdiction with effect from 16 February 2026. ROC Mumbai-I at Mumbai covers the districts of Mumbai and Mumbai Suburban, which together are exactly Greater Mumbai, the BMC area. ROC Mumbai-II at Navi Mumbai covers eight districts: Thane and Palghar closest to the city, then Raigad, Nashik, Dhule, Jalgaon and Nandurbar, and Aurangabad, now renamed Chhatrapati Sambhajinagar.
The test is two way. An office inside BMC limits files with ROC Mumbai-I. An office anywhere else in the region, Thane, Kalyan, Bhiwandi, Vasai Virar or Panvel, files at Navi Mumbai.
The registrar question matters twice in this service. There is the office that reviews the filing today, and the office your records live with tomorrow. When both are the same, the move is administrative. When they differ, the law adds a confirmation step so the file transfers cleanly.
A move across that line changes your registrar without leaving Maharashtra. Under the proviso to section 12(5) of the Companies Act 2013 read with Rule 28, such a move calls for a special resolution plus confirmation from the Regional Director on Form INC-23. Before the split, Mulund to Thane was a simple INC-22 filing. Now it is not, and filings prepared from older checklists stall exactly here.
What does getting it wrong actually cost?
Rarely just the government fee. The real cost is the gap between where you work and where the record says you work. A notice served at the recorded address binds the company even after the movers have gone, and every resubmission stretches that gap by weeks.
