₹1,499 is the professional fee for a director appointment in Mumbai, and it buys the whole sequence rather than one form. Eligibility check, DIN where one is missing, DSC where one has lapsed, consent and disclosure drafting, the board resolution, and the DIR-12 that puts the new name on the registrar's record. Most boards close the loop with us in 5 to 7 working days. What deserves your attention is not the paperwork itself. It is which of two registrars now receives it, and what the incoming director personally owes Maharashtra once the appointment lands.
What must be on record, and by when?
A director appointment is a chain of small filings, each with its own clock. Only one of them draws late fees, but every link matters if the appointment is ever questioned.
- DIR-2, the incoming director's signed consent, comes first, before the board acts at all.
- The board resolution fixes the appointment date, and that date starts the filing window.
- DIR-12 must reach the Registrar of Companies within 30 days of that date, filed on MCA V3.
- MBP-1, the disclosure of interests in other entities, is tabled at the first board meeting the new director attends.
- DIR-3 KYC then repeats every year to keep the DIN active.

Which registrar receives your DIR-12?
Since 16 February 2026, Mumbai company filings split between two offices, and older guides that describe a single ROC Mumbai are simply out of date. It happened under MCA notification S.O. 4850(E) dated 23 October 2025, commencement substituted by S.O. 6112(E).
The working test is short. Greater Mumbai, the BMC area, is exactly the two districts of Mumbai City and Mumbai Suburban, and a registered office there files with ROC Mumbai-I. An office anywhere else in the metropolitan region, including Navi Mumbai, Thane, Kalyan, Bhiwandi, Vasai Virar, Mira Bhayandar and Panvel, files with ROC Mumbai-II at Navi Mumbai.
Your CIN will not tell you which side you fall on. Every Maharashtra company carries the MH state code in its CIN, whichever registrar holds the file. The DIR-12 simply has to be addressed correctly, and we confirm the jurisdiction before anything is signed.
One wrinkle worth knowing. A registered office move that crosses that boundary, Mulund to Thane for instance, now changes your registrar within the same state. Such a move needs a special resolution plus the Regional Director's clearance through Form INC-23, while a plain relocation takes only Form INC-22. Plan for it if the appointment is part of a larger restructuring.
What does a late or defective appointment cost?
The registrar rarely rejects a late DIR-12. It charges for it instead, with additional fees that climb as the delay stretches. The costlier problems are the quiet ones, the gaps nobody notices until a bank, an investor or an inspector does.

That last row is the one Mumbai boards miss. Maharashtra expects every company director to hold a personal PTEC, ₹2,500 flat each year with nothing further to file. It is the director's own enrolment, separate from the company's, and nothing on the MCA side will ever remind you of it.
Which Mumbai boards feel this bite hardest?
Three situations account for most of the appointment work we see in the city.
- Family houses formalising. A Kalbadevi textile business that moved from a partnership into a company brings the second generation onto the board. The children have run the buying and the export side for years, and the DIN, the consent and the resolution simply make it official.
- Operators adding functional directors. A Bhiwandi warehousing company promotes its logistics head to the board as the floor count grows. Its registered office sits outside Greater Mumbai, so the DIR-12 goes to ROC Mumbai-II, not to the city office its promoters assume.
- Funded companies seating a nominee. A Powai startup closes a round, and the investor's nominee must join the board before funds move. The 30 day filing window and the closing timetable rarely agree, so the drafting has to run ahead of both.
