"Can a DIN really be switched off for skipping one small form?" It can, and it happens to directors across Kolkata every October. A fabrication unit owner in Howrah learnt it the hard way when his bank asked for a fresh board resolution and the MCA portal showed his DIN as deactivated. The form he had ignored was DIR-3 KYC.
Done on time, the KYC costs ₹999 in professional fees and nothing in government fees. Done late, it costs ₹5,000 extra before the Ministry treats your DIN as active again. What is DIR-3 KYC and when does it fall due?
DIR-3 KYC is the yearly confirmation that the person behind a Director Identification Number is still reachable at the details the Ministry holds. Anyone holding a DIN on March 31 files it that same year, by September 30. There is no turnover test and no exemption for dormant or loss making companies.
Two routes exist. Directors filing for the first time, or whose mobile, email or address changed, submit the full e-form with a digital signature. Directors whose details are unchanged simply confirm through DIR-3 KYC Web, a short OTP exercise. Which Kolkata directors have to file it?
Every DIN holder, whether or not the company is trading. From our own client files, the usual candidates look like this:
- The owner of an engineering unit in Howrah who sits on his own private limited board and on a supplier JV.
- Three generations of a Bowbazar jewellery family, each holding a DIN since the firm became a company.
- A Sector V software founder who left a startup board years ago but never surrendered the DIN.
- Designated partners of LLPs from Dum Dum to Behala, who file the same KYC as company directors.
- Foreign and NRI directors of Kolkata subsidiaries, who file with a passport in place of Aadhaar.
The duty follows the person, not the company. Your CIN may carry the state code WB and your registrar may sit in this city, but the KYC clings to your DIN even after every company you directed has closed.
What does missing September 30 actually cost?
The damage arrives in a set order, and the timing is unkind to West Bengal companies.

Deactivation lands in October, which is exactly when Kolkata companies prepare AOC-4 and MGT-7 for ROC West Bengal. A deactivated DIN in that window can stall the whole annual filing, and late annual forms then attract their own additional fee of ₹100 a day. One skipped KYC quietly becomes three separate penalty streams.
Bankers and tender committees read the MCA master data too. For a Howrah engineering unit bidding on public contracts, a promoter shown as deactivated raises questions nobody enjoys answering in a tender meeting.
How do we complete the filing for you?
The exercise is fully remote. Nobody visits our office and nobody visits any government office, because the form is filed on the MCA V3 portal and processed centrally.
- You send PAN, Aadhaar and your personal contact details over WhatsApp or email, usually a ten minute job.
- Our CA checks each detail against the DIN record and decides whether the e-form or the Web route applies to you.
- We prepare the form, attach your digital signature where required, and have it certified by a practising professional.
- You approve two OTPs, one on your mobile and one on your email, which the portal insists must be personal to you.
- We submit on MCA V3, download the acknowledgment and confirm your DIN reads active before closing the file.
Start to finish takes 1 to 2 working days when documents arrive complete. In the last week of September we run the same drill, only with less patience for missing Aadhaar copies.
What will you need to send us?
The list is short, and most directors have everything on their phone already:
- PAN card copy, mandatory for Indian directors.
- Aadhaar card carrying your current address.
- A personal mobile number and personal email address for the OTP checks. Shared office numbers fail here.
- Any address proof such as a passport, voter ID or a recent utility bill.
- Your DSC if the full e-form applies. If it has lapsed, we arrange a fresh one alongside the filing.
- A passport, compulsory where the director is a foreign national.
Where does ROC West Bengal fit into this?
Strictly speaking, DIR-3 KYC is processed centrally rather than at the registrar's desk. Your DIN status, though, is read constantly in this city. ROC West Bengal covers every company registered in the state, the annual forms of a Kolkata company travel to it, and a form signed with a deactivated DIN simply cannot be filed.
We see the fallout in three regular situations. A company in Barasat needs to appoint an auditor and the ADT-1 will not take the signatory. A Howrah unit applies for a working capital limit and the bank's company search flags the promoter's DIN. A buyer doing diligence on a Salt Lake company reads the master data and asks why two directors show deactivated.
There is a practical upside to the central processing as well. A director travelling outside West Bengal, or outside the country, can approve the OTPs from anywhere, so the September deadline never waits on anyone being physically present in Kolkata.
