Almost every LLP registration in Bengaluru that goes wrong goes wrong on one document, and it is the registered office proof. The pack is small. A utility bill for the premises dated inside the last two months, a no objection letter signed by the owner, and the rent agreement that names your proposed LLP. Coworking desks in Indiranagar and Koramangala work perfectly well, but only where the operator will sign that letter and produce a bill in its own name. Which decision comes before you file anything?
Four things get settled before a single form opens, and the name is none of them.
- The form itself, since an LLP suits partners who share profits by agreement and are not planning an equity round.
- The partner set: two partners at least, two of them designated, and one designated partner ordinarily resident in India.
- The contribution figure, because the stamp duty on your agreement is charged against it.
- The Bengaluru address, which decides your city corporation, your labour inspector and later your profession tax file.
Who asks us for this:
- A B2B software and design studio in Indiranagar, two working partners, invoicing clients directly and holding no outside capital.
- A family trading business in Chickpet leaving an unregistered partnership behind, mostly for the liability cover.
- A life sciences venture at Bommasandra that expects to raise equity, where we usually argue for a private limited company instead.
Set the contribution deliberately. Article 40-A of the Karnataka Stamp Act, 1957 charges ₹5,000 on the constitution of an LLP where capital does not exceed ₹10 lakh, then ₹1,000 more for every ₹5 lakh or part of it beyond that. Section 30 puts that duty on the LLP itself and not on a partner.
What documents does a Bengaluru applicant hand over?
Nothing exotic, but every item has to agree with every other item.
- PAN and Aadhaar for every partner, with the mobile number and email that will carry the OTP.
- One address proof per partner, dated inside two months, carrying the name exactly as the PAN prints it.
- A photograph for each partner, and an apostilled passport for a partner based abroad.
- The registered office set, meaning the owner's letter, a current utility bill and the rent agreement.
- Two proposed names, checked against the MCA register and against live trade marks before we reserve one.
That address pack does more work than people expect. The same lease and bill go into the Shops Act application on e-Karmika weeks later, and the address tells us which of the five Bengaluru city corporations your premises fall in. We read that off the Greater Bengaluru Authority Know Your Ward tool rather than guessing from a locality name, because Frazer Town and Cox Town are neighbours in two different corporations.
How does the registration run, step by step?
- We fix the partner set, the contribution and the registered address, then run the name search on the MCA register.
- Digital signature certificates are issued for the designated partners, keyed to the PAN and mobile each partner actually uses.
- FiLLiP goes up on MCA V3 carrying the reserved name, the office details, the NIC code and any DPIN requests.
- The certificate of incorporation issues with the LLPIN, and we apply for the PAN and TAN of the LLP.
- We draft the agreement, stamp it under the Karnataka Stamp Act and file Form 3 inside thirty days of incorporation.
Step five is where firms lose money quietly. Form 3 carries a ₹100 a day late fee, so an agreement left unfiled for a quarter costs more than the registration did.

Which registrar and which portal receive the filing?
ROC Bengaluru, on MCA V3. The MCA writes the office both ways, so ROC Bangalore and ROC Bengaluru are one registrar, and it is the only one for the whole state. The restructuring of February 2026 left that territory untouched, so a Whitefield firm and a Malleshwaram firm land in the same place.
An LLP is allotted an LLPIN rather than a CIN, so no state letter sits inside the number. Your registered office address is what puts the file where it belongs. Incorporation is processed centrally and the LLP is then placed on ROC Bengaluru's register.
One layer above the registrar did move. On 16 February 2026 the state came under the new South-Western Region Directorate at Bengaluru, in the same Kendriya Sadana building in Koramangala as the registrar. The earlier answer sent that work out of the state, and it was correct law until 15 February 2026.
What does a new Bengaluru LLP owe in its first weeks?
Incorporation opens a short Karnataka list, and most of its clocks run from the day you start work rather than from the certificate date.
Profession tax comes first. Once the LLP is registered under the Karnataka Goods and Services Tax Act, 2017, or becomes liable to be, entry 2 of the Schedule catches it at ₹2,500 a year. Section 5(3) allows thirty days from commencement to apply for the enrolment certificate on e-Prerana at ptax.karnataka.gov.in. That certificate carries no fee and downloads without a seal or signature, which is a government order rather than a portal fault. Whether a designated partner also needs an enrolment certificate personally turns on how that partner is paid, so we look at it person by person.
Payroll brings the second certificate. Under it you deduct ₹200 a month for eleven months of the year and ₹300 for February from anyone drawing ₹25,000 a month and above. The Form 5-A statement then goes in within twenty days of each month end.
Then the Karnataka Shops and Commercial Establishments Act, 1961, which carries no headcount floor at all. Section 4(1) reaches every establishment, and the prescribed fee schedule opens with a slab for premises having no employees, so a two partner office in HSR Layout registers exactly as a fifty desk one does. You get thirty days from the day work begins, the file goes through e-Karmika, and the certificate runs five years and belongs on the wall.
Municipal licensing is the part that moved most recently. BBMP ceased to exist on 2 September 2025 and five city corporations took over. A licence application now goes to the Commissioner of the corporation your premises fall in, under section 303 of the Greater Bengaluru Governance Act, 2024. Corporate offices and shared office space are both named licensing subjects there. Electronic City runs separately, because Phases I to III are an industrial township under ELCITA, and a Bommasandra address sits outside the five corporations as well.
