A SPICe+ application that reaches ROC Pune with registered office papers the registrar will not accept comes back marked for resubmission, and the 10 to 15 day clock starts over. Nothing is lost but time. Almost every resubmission we see on a Pune incorporation traces to two files: the address proof for the registered office, and the director KYC set. Settle those before a form is opened and the rest of the route is ordinary.
Which structure do you have to settle first?
The structure question comes before the paperwork. A private limited company suits founders who plan to raise money, record an equity split, or sign with a buyer whose procurement team screens its vendors. It needs two subscribers and two directors, one of them resident in India, and it stops at 200 shareholders. An LLP is lighter each year but awkward to issue equity from, and a one person company suits a solo founder and converts later.
We ask three questions before opening a form. Are you raising outside money in the next two years? Is any subscriber sitting outside India? Will the registered office be on premises you own, or on a leave and licence? The third one decides more Pune filings than founders expect, because leave and licence agreements are compulsorily registrable in Maharashtra and the obligation to register sits on the landlord.
Which papers have to be ready before the first form?
Get the pile right and this is a two week job. Get one line wrong and it is a month.
- PAN and Aadhaar for every subscriber and director, with the mobile number and email actually linked to the Aadhaar record.
- One address proof per person, recent, carrying the same spelling of the name as the PAN.
- A passport and the matching KYC for any subscriber who is not an Indian national.
- For the registered office, the latest electricity bill for those premises and a no objection letter from the owner.
- Where the office is rented, the leave and licence agreement itself, registered before that address goes on a form.
Name spelling is the quiet killer. A director whose PAN reads one way and whose bank statement reads another hands the registrar a reason to return the form. A Pune leave and licence agreement can be registered entirely online through IGR's e-Registration, and Pune was the pilot city for the department's current software. Managed workspace addresses at Hinjawadi, Kharadi or Baner do the job, but only where the operator will put the bill and the no objection letter in your company's favour. Ask for that letter before you sign for the desk.

The February 2026 restructuring created registrars elsewhere in the state and left ROC Pune untouched, so nothing was asked of a Pune company that week. Above the registrar sits the Regional Director, Western Region Directorate II, headquartered at Navi Mumbai, and that is where a company goes for an approval a registrar cannot grant. Shifting a registered office into another registrar's jurisdiction inside the state needs a special resolution and confirmation on Form INC-23. None of it calls for a journey: company filings are made online on the MCA portal.
Which local body you answer to follows the address: PMC inside Pune Municipal Corporation limits, PCMC inside Pimpri Chinchwad, and the Cantonment Board where the premises are in the Camp, Khadki or Dehu Road cantonment areas. Outside the corporations and the cantonments the local body is a municipal council or a gram panchayat, and we confirm which one from your address. None of that touches your registrar. It decides who bills the property tax, and the Shops and Establishments filing is separate and goes to the state Labour Department in every one of them.
What lands on the company in the first months after incorporation?
The certificate starts a calendar, and in Maharashtra the first entries on it are state ones.
- Profession tax, which arrives with incorporation and not a year afterwards. Two certificates are taken by a new Maharashtra company on day one. The company's own Schedule I entry sets PTEC at ₹2,500 annually, payable on or before 31 March. Deducting from salaries is what PTRC authorises, so payroll is when it starts to matter. A personal PTEC sits with each director as well, and mahagst.gov.in hosts both.
- The Shops and Establishments filing, submitted online to the Facilitator in the state Labour Department. Twenty workers is where registration begins in Maharashtra with effect from 1 October 2025, and a smaller establishment sends an intimation in its place. Before the form goes up we check which of the two your head count calls for.
- Payroll registrations. Provident fund coverage starts at twenty employees, while ESI reaches ten or more, so the thresholds run opposite ways and a small team meets ESI first.
- The statutory auditor, appointed by the board within 30 days of incorporation, and the declaration of commencement of business before the company trades or borrows.
- Labour Welfare Fund registration, where employer and employee each pay a small amount twice a year.
GST follows where turnover or the nature of the supply requires it. A Maharashtra GSTIN opens with 27. What is local is the officer, not the portal: the state department divides Pune into six nodal divisions and allots jurisdiction by pincode, so two offices a few kilometres apart can answer to different ones. An exporting company will want the IEC beside it, and those applications route through DGFT's Regional Authority at Pune.
Who is registering a private limited company in Pune right now?
- A services founder at Hinjawadi who has been billing enterprise clients through a proprietorship and has met a vendor onboarding form that will not take an individual PAN.
- An engineering and machining unit at Bhosari that exports, and wants one entity name carrying the IEC, the Udyam registration and the export invoices.
- Anyone whose registered office will sit on rented premises, at Wakad or anywhere else in the district, because the landlord's paperwork sets the filing date more often than the drafting does.
A proprietorship holds up fine until a buyer's system asks for a CIN. That becomes a three week problem, and it closes in 10 to 15 days when the address papers are already clean.
