The record that decides how an MOU behaves in Bengaluru is not the MOU itself. It is the stamp certificate behind it, drawn under the right article of the Karnataka Stamp Act, 1957, and dated no later than the day the parties sign. Section 17 of that Act wants an instrument executed in Karnataka stamped before or at the time of execution. Stamping afterwards is a repair, not a cure. Get that one record right and the drafting is ordinary work. Get it wrong and a court here can decline to read the paper at all.
An MOU is where two businesses write down what they have already agreed, before the full contract exists. It carries weight when it is specific, dated and properly stamped. It does damage when it is vague, unstamped, or lifted from a template written for another state. We draft it as a Karnataka instrument from the first line.
Does your Bengaluru arrangement need an MOU, or will something lighter do?
Not every early conversation needs one. If the only thing you want protected is information, a standalone confidentiality agreement is shorter and easier to enforce. If money is already moving and the deliverables are fixed, you are past the MOU stage and you want a contract. The MOU sits between those two.
It earns its place in three situations we see repeatedly across Bengaluru:
- Commercial terms are agreed but diligence, board approval or funding still needs six to eight weeks
- A joint bid or a shared facility arrangement where each side must show a partner in writing
- A family firm bringing in a working partner before the partnership deed itself is drawn
The test is blunt. If you would be uncomfortable being held to every line tomorrow, an MOU with an intent only core and a few binding carve outs fits. If you would be content to be held to it, sign the contract.
What has to be settled before the first draft?
Most of the delay on an MOU is not drafting time. It is the two or three commercial points nobody has decided. We settle those in one line each before a document opens.

We also need the constitution of both parties and the authority behind each signature. A private limited company signs on a board resolution, a partnership through a partner named in the deed, and a proprietor personally, with the trade name in brackets.

Which Karnataka office holds an MOU, and what can it ask for later?
An ordinary MOU between two businesses is filed nowhere. No register keeps it, no authority approves it, and no officer issues a number against it. Three offices still sit behind the paper.
The Department of Stamps and Registration owns the duty. Its Kaveri 2.0 portal at kaveri.karnataka.gov.in carries a stamp duty calculator, the guidance value tables and a sub registrar office locator, none needing a login.
The jurisdictional sub registrar office matters only where the MOU stops being a plain understanding. One that hands over possession, or reads as an agreement to lease, can fall inside section 17 of the Registration Act, 1908, and must then be presented within four months of execution under section 23. Which office that is follows the property: Whitefield and the outer ring road corridor with the Varthuru and Mahadevpura offices, the Bommanahalli belt with Bhommanahalli, and Peenya with Peenya.
The court comes last and matters most. Section 34 of the Karnataka Stamp Act keeps an instrument that is not duly stamped out of evidence until the duty and a penalty are paid, and that penalty in plain terms runs to ten times the shortfall. Bengaluru has dedicated commercial courts at the district judge level that hear commercial disputes above the statutory threshold, in both Bengaluru Urban and Bengaluru Rural.
What does an MOU cost in Bengaluru, and when does it come round again?

The schedule to the Karnataka Stamp Act charges an agreement, its records, or a memorandum of an agreement under one head, Article 5, so calling the document an MOU creates no separate entry. Article 5(j), the residual line for an agreement not otherwise provided for, has been ₹500 since 3 February 2024. Article 5(b), for an agreement not relating to a monetary transaction or to anything valuable in money, is ₹50. An MOU assigning intellectual property is charged on consideration under Article 5(ic), and section 30 puts that duty on the assignee.
Renewal is the wrong word for an MOU, but the date is not. Most that we draft run six to twelve months, then convert into a contract or lapse. Diarise the expiry on the day you sign. A lapsed MOU leaves the parties arguing about what was agreed.
Two costs get forgotten. Where the paper does end up being registered, Kaveri charges ₹100 for each consenting witness and ₹1,000 where officials attend your premises. A registration fee of 2 percent has applied on the instruments that carry it since 31 August 2025.

The Chickpet file goes wrong most often. Everything is agreed across a table, the MOU goes onto a plain sheet, and nobody stamps it. Years later the family needs it read in court and section 34 stops it at the door. The Peenya file fails differently: the confidentiality clause protects information in the abstract, without naming drawings, tooling and process data.
