A One Person Company that gives the registrar an address it does not really occupy is the one that gets looked at. Section 12 puts a penalty of ₹1,000 for each day the default continues on the company and on every officer in default, capped at ₹1 lakh. It also lets the Registrar verify the office in person and begin strike off where he believes no business is being carried on there. That bites in Bengaluru more than most places, because single member companies here so often incorporate on a rented desk and then move out quietly. Settle the address, the owner's no objection letter and the nominee's consent at filing stage, and the rest of an OPC is a clean piece of work.
Which call do you have to make before anything is filed?
An OPC is a company with one member, one director and one named nominee. That shape is either exactly right for you or slightly wrong. Four things settle it. Whether a second shareholder is likely inside two years, and how much goes in as paid up capital. Then whose nominee consent you can actually get signed, and which Bengaluru address you are willing to keep answering for.
The owners we set these up for in the city tend to look like this:
- A family trading business in Chickpet coming off a proprietorship, where the owner wants the GST number, the bank account and the supplier contracts sitting with an entity instead of with a person.
- A solo consultant billing enterprise clients from an Indiranagar or Koramangala desk, who keeps stalling at the vendor onboarding question about a registered entity.
- An IT services and staffing operator in Whitefield who started alone but expects a second shareholder inside two years, so the conversion route matters as much as the incorporation.
If a business partner is already in the picture, spend the money on a private limited company instead. We say so on the call, not after the filing.
What paperwork does a Bengaluru applicant have to produce?
Nothing exotic. The address file is where applications actually stall, so keep these ready before we start:
- The member's PAN and Aadhaar, a passport size photograph, and an address proof no older than two months.
- The nominee's PAN, Aadhaar, photograph and written consent, signed by someone who understands what they are agreeing to.
- For the registered office, the latest electricity bill, the rent or lease agreement, and a no objection letter from the owner of the premises.
- Your email and mobile number, both of which get tied to the Digital Signature Certificate and to every notice that follows.
If the office is a coworking seat, ask the operator at the outset whether they will give a named no objection letter and a bill for the premises. Several will not, and finding that out after the name is reserved costs a week. If you own the premises, a khata extract or tax receipt does the same job later, at the establishment registration.
How does the incorporation actually run, week by week?
- We test the name shortlist against MCA records and the trade mark register, then reserve the surviving option through SPICe+.
- We draft the memorandum and articles for a single member company, with the nominee named in the memorandum.
- The Digital Signature Certificate is issued for you as sole director, and the DIN is applied for inside the same form.
- SPICe+ goes up on MCA V3 with PAN and TAN attached, is processed centrally, and the company is then placed on ROC Bengaluru's register.
- The Certificate of Incorporation comes through, and we move straight on to the state registrations that sit behind it.
What does an OPC cost to set up in Bengaluru?
Two of the lines below belong to Karnataka rather than to us, and they are the ones people have not budgeted for. Karnataka levies its own stamp duty on the constitutional documents, and the company bears it.

Which registrar and which portal end up with the file?
Every company on the Karnataka register sits with ROC Bengaluru, which MCA also writes as ROC Bangalore. There is one registrar for the entire state. A company incorporated from Chickpet and one incorporated from Whitefield sit on the same register, and shifting your office to Mysuru later does not change who holds the file. The registrar and the Regional Director for the South-Western Region share the Kendriya Sadana building in Koramangala. That is an identifying fact and not an invitation, because everything is filed on MCA V3 and there is no counter to visit.
The February 2026 restructuring at MCA left the registrar's territory alone but did move the Regional Director, and Karnataka now sits with the South-Western Region Directorate at Bengaluru. Company and insolvency matters for a Karnataka company are heard by the NCLT's Bengaluru Bench. Your Corporate Identity Number will carry KA as its state code, in the block between the industry code and the year of incorporation. Section 12(3)(c) then requires that number on your letterheads, bills and notices from the first day.
What does a new Bengaluru company owe in its first two months?
Incorporation is the national half of this job. The state half starts the moment the certificate lands.
Professional tax comes first. A company carrying on any profession, trade or calling is enrolled in its own right at ₹2,500 a year, and the application goes in within thirty days of commencement, on e-Prerana at ptax.karnataka.gov.in. There is no fee to enrol, the certificate is granted on successful submission, and it downloads with no seal and no signature on it, which is a government order rather than a glitch. Whether you as the director also need a separate enrolment turns on how you are paid, so we check rather than enrol everyone by reflex. Once you have staff you take the registration certificate as well, and deduct ₹200 a month, or ₹300 in February, from anyone drawing ₹25,000 and above.
Then the establishment registration. A shop under the Karnataka Shops and Commercial Establishments Act, 1961 includes an office, and there is no headcount below which you sit outside it. You get thirty days from the day the establishment begins work, the application runs on e-Karmika with the fee paid online, and the certificate is valid for five years. Social security is a separate question. An establishment of ten or more persons is inside the Code on Social Security, 2020, and high earners count towards that number.
Municipal licensing is decided by your street rather than by your city. BBMP ceased to exist on 2 September 2025 and five city corporations took over, so a trade licence application goes to the Commissioner of the corporation your premises fall in. An Electronic City address is different again: Phases I to III are an industrial township run by ELCITA, with its own general licence.
