A producer company is open only to people who actually produce: farmers, dairy and poultry keepers, fishermen, beekeepers, weavers and other artisans, and to institutions already made up of them. If your Bengaluru business buys, processes or sells someone else's produce without producing any of it, this is not your structure and a private limited company is. For a group that does qualify, ten individual producers or two producer institutions are enough to start, and the file goes to ROC Bengaluru, the single registrar for the whole of Karnataka.
Which decision has to be settled before anything is filed?
Four things get settled before a form opens. Three of them are cheap to fix now and expensive to fix later.
The first is whether every member is genuinely a producer. Individual members have to be engaged in primary produce, and a list padded with a helpful accountant or a friendly buyer invites the one question nobody wants at incorporation. The second is the founding shape: ten individual producers, or two producer institutions. The third is capital, because the company starts with a minimum paid up capital of ₹5 lakh and the group has to agree who subscribes what before drafting begins.
The fourth is the Bengaluru registered address, and it is the one groups underestimate. Section 12(9) of the Companies Act lets the registrar have a registered office physically verified where it has reason to believe the company is not carrying on business, and that road ends in strike off. A hot desk with no signage and no post reaching it answers that visit badly. Pick a place where someone signs for the courier.

What documents and address proofs does a Bengaluru applicant need?
Every member signs, so the paperwork is wider than a two director private company but no deeper.
- PAN and Aadhaar for all ten producer members, with a photograph and an email and mobile number that work, because the digital signature is issued against them.
- Proof that each individual member produces: a land record, a lease of agricultural land, a milk society card, a fisheries or weaver identity document, whichever fits.
- For a producer institution member, its own registration certificate and the resolution nominating a representative.
- For the registered office, a rent agreement or sale deed, a utility bill not older than two months, and a signed no objection letter from the owner.
- Identity and address proof for each of the five first directors.
The address pack is where Bengaluru files stall. An owner hands over a khata extract and assumes it settles the matter; it is one proof among several, and the name on it has to match the name on the rent agreement. We reconcile that pair before the name reservation goes in, not after a query arrives.

Which registrar and which portal receive the filing?
ROC Bengaluru holds the file. The MCA writes the name both ways, so you will see ROC Bangalore on the portal and on the certificate, and it is the same office. Being the only registrar for the state matters more for a producer company than for most: members can sit in three different districts and the company still answers to one register.
The February 2026 MCA restructuring left that territory alone. What it did move is the Regional Director, and Karnataka now sits with the South-Western Region Directorate at Bengaluru, in the same Kendriya Sadana building at Koramangala as the registrar. That is an identifying fact rather than an invitation, because incorporation and compliance filings all run on MCA V3.
Incorporation is processed centrally and the company is then placed on ROC Bengaluru's register. Your CIN carries KA as its state code, and that number then has to appear on the company's letterheads, billheads and notices. If the office later shifts to another town in the state, the file stays with the same office.
What does a new Bengaluru producer company owe in its first weeks?
Three Karnataka obligations start almost at once, and none of them arrives in the post.
Professional tax comes first. A company registered under the Companies Act 2013 and carrying on any profession, trade or calling is an enrolment entry in the Karnataka Schedule at ₹2,500 a year, due within thirty days of commencement. It runs on e-Prerana at ptax.karnataka.gov.in, enrolment carries no fee, and the certificate you download needs no seal or signature by government order. Bankers ask about that every time. A company caught by more than one entry still pays ₹2,500 once.
Hire staff and a second certificate follows. The enrolment certificate covers the company's own liability; a registration certificate covers what it deducts from its people. An employee whose monthly pay is ₹25,000 and above has ₹200 deducted for each month from April to January and for March, and ₹300 for February.
Then the premises. Registration under the Karnataka Shops and Commercial Establishments Act, 1961 is due within thirty days of the day the establishment commences its work, filed on e-Karmika with the fee paid through Khajane II. There is no employee test: the fee schedule opens with a slab for establishments having no employees at all. The certificate runs five years and is renewed before it expires.
ESI is the one to watch as the group grows, because coverage now runs off the First Schedule to the Code on Social Security, 2020 and its ten person test. Karnataka's ESIC regional office is at Bengaluru, with sub regional offices at Peenya and Bommasandra covering the two industrial flanks of the city.
