Most Bengaluru founders who ask us about proprietorship registration are really choosing between two things. Register as a proprietor now, or incorporate a one person company and carry its filings from the first month. The proprietor wins when the business is genuinely one person, the customers are Indian, and nobody is buying a share of it. The company wins the moment an investor, a lender or a personal liability worry enters the room. If you are in the first group, understand what you are buying. No office in Karnataka issues a certificate called a proprietorship registration, and no statute creates one. What you get is a small stack of registrations, and which of them you need is decided by your Bengaluru address and your line of work.
Which choice do you have to settle before anything gets filed?
Settle the address first, because in Bengaluru it now decides more than people expect. A proprietorship has no registered office in the company law sense, so the address on your applications is simply where the work happens. That single line drives which Labour Inspector holds your file, which of the five Bengaluru city corporations can ask you for a trade licence, and whether any corporation can ask you at all.
Then settle whether you want GST from the first day or only when a customer forces it. Registering early is easy in theory and awkward to unwind in practice. A Karnataka GSTIN on its own pulls you into professional tax enrolment at ₹2,500 for the year, so decide it knowingly rather than by accident.

What proof of a Bengaluru address will actually be accepted?
Address proof is where these applications stall. e-Karmika accepts a rental or lease agreement, a GST certificate, or a khata or property tax receipt for the premises, and the name on that document has to reconcile with the name on the application. A rented desk is fine; a desk whose lease sits in somebody else's company name, with no consent letter behind it, is not.
Have these ready before we start:
- PAN and Aadhaar of the proprietor, with the name spelt identically on both, since a mismatch is the commonest reason a filing bounces back.
- Proof of the working address: the rent agreement, or the khata or property tax receipt where you own the premises.
- An email address and a mobile number you genuinely monitor, since the tax department now serves notices by email and on its own portal.
- A plain description of what you sell, because it sets your fee slab under the Shops Act and your activity codes under GST.
How the registrations run, in the order we file them
Nothing here is sequential as a matter of law, but the order matters, because each filing wants the one before it.
- We scope the set on a call, establishing what you sell, where you work from and whether you employ anyone, then name the registrations you need instead of selling you all of them.
- We file the Karnataka Shops and Commercial Establishments registration on e-Karmika, with Form A, your address proof, the fee paid through the Khajane II treasury gateway, and an electronic signature that generates the certificate.
- We take Udyam registration on the Ministry of MSME portal, which costs nothing and is the document Bengaluru bankers read most easily.
- We file for GST where you need it, under state code 29, and answer whatever the assigned officer raises about your principal place of business.
- We enrol you for professional tax on e-Prerana and hand over the enrolment certificate with a note explaining why it carries no signature.
What does a Bengaluru proprietorship cost to set up?

The line nobody warns a new Bengaluru proprietor about is the professional tax. A GST registration in Karnataka is by itself enough to bring you inside the enrolment net at ₹2,500 for the year, with no turnover qualifier sitting under it.
Which registrar and which portal actually receive this?
A proprietorship page has to be honest at this point. ROC Bengaluru, the single registrar for the whole of Karnataka, never opens a file for you. There is no MCA V3 form to submit, no incorporation certificate and no CIN carrying the KA state code, because none of that exists outside company law. If somebody has quoted you for a proprietorship incorporation certificate, ask which statute they propose to issue it under.
What does receive your filings is a set of separate desks that do not talk to each other. e-Karmika belongs to the Karnataka Labour Department, and your registering officer is a Labour Inspector rather than anyone municipal. e-Prerana at ptax.karnataka.gov.in belongs to the Karnataka Commercial Taxes Department. Udyam is national and sits with the Ministry of MSME. Only the trade licence is municipal, and there it is the Commissioner of the Bengaluru city corporation your premises fall in, under section 303 of the Greater Bengaluru Governance Act, 2024.
What does a new Bengaluru proprietor owe in the first month?
Two clocks start on the day you begin work, and both are short.
The Shops and Commercial Establishments Act gives you thirty days from the date the establishment commences its work. The trigger is the day work starts, not the day you signed a lease and not the day a GST certificate arrived. The prescribed fee schedule opens with a slab for establishments having no employees, so a one person consultancy in Whitefield registers exactly as a busier office does, and the certificate then runs for five years.
Professional tax has a thirty day clock of its own, counted from the day the trade or calling commences. Enrolment and payment both run through e-Prerana, no fee is charged for the certificate itself, and a government order of February 2025 stopped the department accepting physical applications. Your downloaded certificate will carry no seal and no signature. That is the department's own instruction, not a defect, and it is worth knowing before a Bengaluru landlord or banker queries it.
The trade licence is the answer that changes street by street. Premises inside the five Bengaluru city corporations go to the Commissioner of the corporation they sit in, through a portal that still carries its old BBMP name. Two of the readers above do not. A Bommasandra address falls in Anekal taluk under its own local body, and Electronic City Phases I to III form an industrial township under ELCITA, which renotifies its own General Licence fee each March.
