The document that decides how a Bengaluru vendor relationship ends is rarely the contract itself. It is the annexure. One page listing what the supplier delivers, at what rate, on which dates, and against which purchase order. Buyers who keep that schedule current close a dispute in a week. Buyers who leave it vague argue for months about what was actually promised. A vendor agreement in Bengaluru is built around that schedule and then stamped under the Karnataka Stamp Act, 1957. Section 17 of that Act requires an instrument executed in Karnataka to be stamped before or at the time of execution, so stamping after signature is late rather than cured.
Does your Bengaluru supplier arrangement need a written vendor agreement at all?
Not every purchase does. A single delivery against a tax invoice, paid on receipt, already carries its own record. Wrapping a twelve page contract around a one off order of packaging material is work nobody reads twice.
The line moves as soon as the relationship repeats, or money travels ahead of the goods. Put the agreement in writing when any of the following is true.
- The supply runs on a rate contract or a standing order rather than a single invoice.
- You pay an advance, a retainer or a tooling charge before anything reaches you.
- The vendor holds your drawings, artwork, customer lists or source files.
- The vendor builds something to your specification that you expect to own outright.
- An investor, a lender or a buyer side auditor will ask to see the supply contract.
A signed rate card and printed purchase order terms can carry a small, low value, cash on delivery supply. They stop working the moment the vendor disputes the rate, or a consignment arrives damaged and nobody wrote down when risk passed.
What has to be settled before a single clause is drafted?

The stamping decision belongs on that list too, and it is the one most templates skip. A plain supply contract with nothing else inside it sits in Article 5 of the Karnataka Stamp Act schedule. A building works, labour or services contract has its own entry with its own ladder. Where one document bundles supply, an intellectual property assignment and a licence, the schedule charges the highest of the duties involved, so the drafting choice and the duty choice turn out to be the same choice.

Which Karnataka authority ends up holding this document, and what can it ask for later?
Nobody files a vendor agreement anywhere. It is not compulsorily registrable, so it never reaches a sub registrar counter unless you decide to register it. What the state holds is the duty, through the Department of Stamps and Registration, and Kaveri 2.0 is where duty is calculated and slots are booked when a related instrument does need registering.
That does not make the stamp optional. Any public officer who finds a chargeable instrument unstamped is bound to impound it, and the document is let in later only on payment of the duty plus a penalty of ten times the shortfall. Guidance value scrutiny reaches a listed set of instruments, and an ordinary vendor contract is not one of them, which is one thing competitor pages routinely get backwards.
The forum clause is where the city genuinely shows up. Bengaluru has dedicated commercial courts at the district judge level that hear commercial disputes above the statutory threshold, in both Bengaluru Urban and Bengaluru Rural. Whether a stalled consignment or an unpaid invoice reaches one of those benches depends on what the claim is worth. The Commercial Courts Act sets the floor at three lakh rupees, and a state can notify a higher figure, so we confirm the current Karnataka position before advising on forum. Level is a separate question from value. The Karnataka High Court hears commercial matters on appeal rather than as a court of first instance, so a Bengaluru commercial suit starts in a commercial court at the district level.
What does a vendor agreement cost in Bengaluru, and when does it come up again?
Drafting starts at ₹2,999 and the draft reaches you in 1 to 2 days. Stamp duty is separate, and it is paid to the state rather than to us.
Where the contract is a plain agreement with no other article covering it, the Karnataka schedule charges ₹500, a figure in force since 3 February 2024. Where it is a building works, labour or services contract, the entry starts at ₹500 for value up to ₹10 lakh. Above that it adds ₹500 for every ₹10 lakh or part in excess, subject to a ceiling of ₹10 lakh. Who bears the duty follows the statute rather than the negotiation. On a works or services contract it sits with the party entrusting the work or availing the service. On a plain agreement it sits with the executant.
It comes up again more often than buyers expect. A rate contract renewed for a fresh term is a fresh instrument. So is a supplementary agreement that changes rates or scope. Where a related instrument does go for registration, the registration fee moved to 2 percent with effect from 31 August 2025, which changes the arithmetic on anything registered after that date.
Who in Bengaluru is asking for a vendor agreement right now?
- A family trading business in Chickpet, moving from three decades of telephone ordering and ledger credit to written rate contracts, usually after one bad season with a supplier.
- The same Chickpet buyer again when a distributor asks for an advance against stock, and the family wants that money secured before it leaves the account.
- A precision engineering and machine tools unit in Peenya that hands drawings and tooling to a subcontractor and needs ownership of both written down.
- A Whitefield buyer whose vendor touches customer records, where the confidentiality and deletion clauses matter a good deal more than the price clause.
- A distributor holding stock in a warehouse at Hoskote or Nelamangala, settling who insures a consignment and the moment risk passes to the buyer.
