The single document that decides whether your MOA amendment goes smoothly is the special resolution itself. Get the wording wrong, or skip a step in the notice period, and the registrar can reject the whole filing. For a Gurugram or Faridabad company, every one of these filings lands with the same registrar today. Haryana has run as one statewide office since the October 2025 restructuring. LegalX India drafts the resolution, prepares the altered MOA clause, and files it with ROC Haryana at Chandigarh, so the paperwork holds up the first time.
Does an MOA Amendment Apply to Your Company This Year?
An MOA amendment applies the moment your company changes its name, its objects clause, its authorized capital, or its registered office state. A Gurugram IT or SaaS company usually needs one when adding a new business line the original objects clause never covered. A Faridabad manufacturing company more often needs one when authorized capital rises ahead of a new investor round.
Section 13 of the Companies Act, 2013 governs the alteration, and it always needs a special resolution passed by shareholders. Carrying out an activity your MOA does not cover is not just a paperwork gap either. It leaves directors exposed to questions about whether that activity was ever properly authorized in the first place. If none of your MOA clauses are changing this year, you can skip the rest of this page.
What Documents Does LegalX India Need Before Filing?
Before LegalX India drafts anything, we need your current MOA and Articles of Association on file. We also need your latest shareholder list. The special resolution needs at least 75 percent of votes cast in favour. A Digital Signature Certificate for an authorised director has to be valid too.
Companies on DLF Cyber City or in Udyog Vihar should also keep their CIN and registered office proof ready. That address confirms which registrar holds the filing. The same goes for a Ballabgarh or NIT Faridabad manufacturing unit.
A board meeting has to happen before any of this, since directors must first approve calling the shareholder meeting. Many DLF Cyber City companies now hold that board meeting virtually, which is entirely valid under the Companies Act, 2013. A Faridabad manufacturing company with directors spread across sites often does the same.
When Exactly Is Form MGT-14 Due?
Form MGT-14 is due within 30 days of the special resolution being passed at the extraordinary general meeting. The clock starts on the date of that meeting, not the date the resolution gets typed up or signed.
If your amendment also needs Regional Director approval, say for a company moving its registered office to another state entirely, that clock runs separately. It only starts once the special resolution stage is complete. For Haryana companies, that Regional Director sits at Chandigarh, under Northern Region Directorate II.
What Happens If You File MGT-14 Late?
Missing the 30 day window for Form MGT-14 turns a routine filing into a late one. Here is roughly how the additional fee climbs the longer the delay runs, before counting any separate fine on the company and its officers in default.
| How Late Is the Filing | Rough Impact on the Additional Fee |
|---|---|
| Within the first 30 days past due | Lowest additional fee band, added to the normal ROC charge |
| 30 to 60 days past due | Additional fee roughly doubles from that first band |
| 60 to 180 days past due | Additional fee keeps rising and the registrar often raises queries |
| Over 180 days past due | Highest additional fee band applies, plus possible separate scrutiny |
A delayed MOA amendment also holds up anything downstream, like an investor's due diligence checklist. LegalX India tracks the 30 day window from the day the resolution is passed, not from whenever paperwork happens to reach us.
How Does LegalX India Handle the Filing?
Once your resolution is signed, our process moves through a fixed sequence.
- We confirm your registered office address and file with ROC Haryana at Chandigarh, the single registrar for Gurugram, Faridabad and the rest of the state.
- We draft the board resolution, the EGM notice, and the special resolution language for your specific clause change.
- We prepare the altered MOA and file Form MGT-14 on the MCA V3 portal within the 30 day window.
- Where a Regional Director application applies, we prepare and track that filing with Northern Region Directorate II at Chandigarh separately.
- We deliver the updated MOA and, where applicable, the amended Certificate of Incorporation.
Who in Haryana Actually Needs This Amendment?
We see a few recurring patterns from Haryana based clients.
- A DLF Cyber City IT or SaaS company usually needs an objects clause amendment when it adds a product line the original MOA never anticipated.
- A Udyog Vihar mid size IT or ITES firm sometimes needs a capital clause amendment ahead of a funding round.
- A Ballabgarh or NIT Faridabad manufacturing company more often amends the objects clause when it adds a new manufacturing activity.
- Any of these companies files with the same ROC Haryana office at Chandigarh, since the whole state runs as a single registrar.
A fourth pattern shows up too: a Gurugram GCC or captive unit adding a fresh service line for its parent group, which almost always means widening the objects clause before the new work can start legally. All four situations follow the identical Section 13 process, the identical 30 day MGT-14 deadline, and the identical registrar.
