Here is the mistake we fix most often for Mumbai promoters: preparing a Nidhi incorporation as if one Registrar of Companies still served the whole city. That assumption expired on 16 February 2026. Mumbai company work now splits between two registrars, and a SPICe+ pack aimed at the wrong one starts life with avoidable friction. The fix costs nothing: confirm which district holds your registered office before anything is drafted. The member fund model itself, the seven subscribers, the ₹10 lakh capital floor, all of that sits in our complete Nidhi company registration guide for India. This page covers what changes when the address is in Mumbai.
Which registrar will your Nidhi company file with?
The test has two outcomes. A registered office inside Greater Mumbai, the BMC area, which is exactly the districts of Mumbai City and Mumbai Suburban, files with ROC Mumbai-I. A registered office anywhere else in the region, including Navi Mumbai, Thane, Kalyan, Bhiwandi, Vasai Virar, Mira Bhayandar and Panvel, files with ROC Mumbai-II at Navi Mumbai. The second office holds a charge of eight districts in all: Thane, Palghar, Raigad, Nashik, Dhule, Jalgaon, Nandurbar and Chhatrapati Sambhajinagar. The split was made by MCA notification S.O. 4850(E) and has applied since 16 February 2026, which is why older guides describing a single ROC Mumbai now misdirect filings.
This matters more for a Nidhi than for most companies. The registrar relationship is a long one: annual NDH-1 and half yearly NDH-3 returns will be examined at that office for as long as the fund runs. Start at the right desk and every later filing inherits a clean history, and your CIN will carry the MH state code either way. One more consequence of the split: a later office move that crosses the boundary, say Mulund to Thane, now changes registrars within the state and needs Regional Director confirmation, not just a form update.
What does a Nidhi company cost in Mumbai?
Our professional fee is ₹4,999. The bigger number is capital: a Nidhi needs ₹10 lakh of paid up equity, and that money is not a fee, it becomes the fund your members borrow against. Maharashtra then adds lines that national checklists skip.
| Cost head | Amount | Notes |
|---|---|---|
| LegalX India professional fee | ₹4,999 | Drafting, filings and follow up till the certificate arrives |
| Paid up equity capital | ₹10 lakh minimum | Stays in the company bank account as the member fund |
| Stamp duty on incorporation papers | Confirmed before filing | Depends on the instrument and capital under Maharashtra rates |
| Company PTEC enrolment | ₹2,500 a year | Profession tax on mahagst.gov.in once incorporated |
Stamp duty in Maharashtra depends on the instrument and value, and the schedule has been amended in recent years, so we compute the exact figure before execution instead of quoting a stale one. You also get an exact quote for your own case in the free consultation, before any money moves.
Who is registering Nidhi companies in Mumbai right now?
Four profiles keep appearing in our current files:
- Family textile businesses around Kalbadevi, where an internal savings pot has run for decades and the next generation wants it regulated before taking over.
- Trading families near Zaveri Bazaar moving a members only lending circle out of the notebook and into audited books.
- A warehousing operator in Bhiwandi building a savings and loan fund for long serving staff, as an alternative to the informal lenders around the godowns.
- Salaried groups in Dadar and Ghatkopar formalising a monthly deposit habit, with loans available against those deposits.
The common thread is a defined community. A Nidhi cannot invite deposits from the public, and none of these groups wants it to; the structure simply gives an old habit rules, records and a registrar.
Which documents should you keep ready?
Nidhi paperwork is company paperwork plus a careful office file. For the seven subscribers and three directors we collect:
- PAN and Aadhaar for every subscriber and director, with passport size photographs.
- A recent bank statement or utility bill as individual address proof.
- The registered office file: leave and licence agreement, the licensor's NOC and a utility bill for the premises.
- For an office inside a cooperative housing society, the society's stance must line up with the licensor's NOC.
The office file deserves the most care. Mumbai premises commonly run on leave and licence terms, and Maharashtra expects such agreements to be registered, so we make sure the papers agree with each other before filing. Weak office proof is the most frequent resubmission trigger we see at both registrars.
How does the filing actually run?
- We confirm eligibility, map your registered office to ROC Mumbai-I or ROC Mumbai-II, and open the checklist.
- DSCs are issued for the subscribers, and your name, which must end with Nidhi Limited, is reserved.
- MOA and AOA are drafted around the mutual benefit objects, and the SPICe+ pack is filed on the MCA V3 portal.
- The registrar examines the pack, raises any queries, and issues the Certificate of Incorporation with PAN and TAN.
- You receive a first year calendar covering NDH returns and the Maharashtra registrations described below.
With clean documents, plan for 20 to 25 days end to end.
What does a new Nidhi company owe Maharashtra in its first weeks?
Incorporation is the national half; the state half starts at once. PTEC comes first. The company enrols for profession tax on mahagst.gov.in at a flat ₹2,500 a year, with no return to file, and each director takes an individual enrolment in personal capacity as well. Hire staff and PTRC follows: the employer side registration for deducting profession tax from pay, where women earning up to ₹25,000 a month stay exempt from deduction.
The office needs a shops and establishments intimation too. Below 20 workers you file an intimation of commencement and receive a receipt; at 20 or more workers the requirement becomes registration in Form A. Inside Greater Mumbai this function runs through the municipal corporation's shops machinery, and outside it through the local body for the area, Thane and Navi Mumbai included. A Nidhi office generally stays clear of the municipal trade licence, which targets hazardous and storage trades rather than a member fund's desk work.
And if the 200 member target for the first year starts looking tight, remember the NDH-2 extension route runs through the Regional Director machinery for the western region, stationed in Mumbai itself.
