Since 16 February 2026 there has been no single ROC Mumbai. The Ministry of Corporate Affairs split the region's company filings between two registrars on that date, and every new One Person Company answers to one of them from day one. Most pages about one person company registration in Mumbai were written earlier and still describe one registrar for the whole city. Rely on them and your paperwork addresses an office that no longer covers your registered address, which is a poor way to begin. Here is the current picture: which registrar takes your file, what ₹2,999 actually buys, and the Maharashtra registrations that follow within weeks of the certificate.
Which registrar will your OPC actually file with?
The test is simpler than most founders expect. Greater Mumbai, the area the BMC administers, is exactly the two districts of Mumbai City and Mumbai Suburban. A registered office inside that boundary files with ROC Mumbai-I at Mumbai. An office anywhere else in the metropolitan region, including Navi Mumbai, Thane, Kalyan, Bhiwandi, Vasai Virar, Mira Bhayandar and Panvel, files with ROC Mumbai-II at Navi Mumbai.
ROC Mumbai-II's full charge runs to eight districts: Chhatrapati Sambhajinagar, Dhule, Jalgaon, Nandurbar, Nashik, Palghar, Raigad and Thane. The split was made by MCA notification S.O. 4850(E) dated 23 October 2025 and brought into force on 16 February 2026. Either way your certificate reflects Maharashtra: the CIN of a company registered here carries the MH state code, in the shape U72900MH2026PTC123456.
None of this needs a visit. Every incorporation form, SPICe+ included, is filed online on the MCA V3 portal. Jurisdiction follows your registered office address and nothing else.

Which documents decide how fast your filing moves?
The personal side of the file is short:
- PAN and Aadhaar for the member and for the nominee
- A photograph and a recent bank statement or utility bill for each of them
- The nominee's written consent to be named
- A utility bill for the registered office premises
- A no objection letter from the property owner
The registered office proof deserves the most care. Where the premises run on a leave and licence agreement, remember that Maharashtra makes registration of the agreement compulsory and puts that obligation on the landlord. Getting this file right at incorporation pays off again at GST registration, where Mumbai applications fail most often on the principal place of business proof.

What does a new Mumbai OPC owe in its first weeks?
More than most founders are told. Three items make up the Maharashtra stack.
First, professional tax. The company enrols for a PTEC on mahagst.gov.in and pays a flat ₹2,500 a year, with no return to file. The director carries a separate PTEC in personal capacity, which surprises almost everyone. PTRC is a different certificate entirely, the employer's authority to deduct profession tax from salaries, and it matters only once you hire staff. The two are not one registration, whatever a generic checklist says.
Second, the Shops and Establishments layer. Since 1 October 2025 an establishment below 20 workers files an intimation of commencement and receives a receipt, while 20 or more workers means applying for a registration certificate in Form A. That came in by ordinance, with the replacing Bill still awaiting the Assembly as at the consolidated text last published, so we confirm what applies the day your papers go in. Many older guides still quote the threshold that applied before the amendment, and following them means filing the wrong thing.
Third, the municipal layer, which follows your premises rather than your registrar. Inside Greater Mumbai the function sits with the municipal corporation's machinery; in Navi Mumbai it is NMMC territory, and in Thane it is the Thane Municipal Corporation. A trade licence is a separate instrument reserved for hazardous, offensive and storage trades, so a Kalbadevi textile trading office or a consulting desk generally does not need one.
GST can wait until turnover approaches ₹40 lakh for goods or ₹20 lakh for services. When it comes, your GSTIN will begin with 27, Maharashtra's state code.
