16 February 2026 is the date that redrew company registration in this city. From that morning Mumbai stopped having a single Registrar of Companies, and every new public limited company answers to one of two offices depending on where its registered office sits. Address the filing on the old single registrar assumption and it reaches an office that no longer holds your district. Most guides online still describe the older map. This page sets out the current position for promoters who want a seven subscriber company filed right the first time.
Which registrar takes your filing, Mumbai-I or Mumbai-II?
The test is short. Greater Mumbai, the area the BMC administers, is exactly two districts, Mumbai City and Mumbai Suburban, and a registered office inside those limits files with ROC Mumbai-I. An office anywhere else in the region, Kalyan, Bhiwandi, Vasai Virar or Panvel included, answers to ROC Mumbai-II at Navi Mumbai. That registrar's charge runs across eight districts: Thane, Palghar, Raigad, Nashik, Dhule, Jalgaon, Nandurbar and Chhatrapati Sambhajinagar.
The split changes more than an address line. Your registrar receives every filing the company ever makes. A registered office move that later crosses the boundary, say Mulund to Thane, now needs a special resolution plus Regional Director confirmation on Form INC-23. The same move once travelled on Form INC-22 alone. Approval itself stays fully online through MCA V3 either way, and the certificate arrives with the MH state code in the CIN.

Which documents should you have ready?
A public limited company needs a minimum of 7 subscribers and 3 directors, so the paper load is heavier than founders expect. One stale Aadhaar or a mismatched signature among seven people stalls the entire set.
- PAN for every subscriber and director, with Aadhaar or passport as identity proof
- A photograph and a separate address proof, bank statement or utility bill, for each director
- Registered office proof, a utility bill not older than 2 months
- An NOC from the owner where the premises are rented or held on leave and licence
Premises deserve the closest look in Mumbai. Offices here commonly run on leave and licence, and in a society building the owner's NOC and the society's position must line up with the agreement. In Maharashtra a leave and licence agreement is also compulsorily registrable, with the obligation resting on the landlord, and e-registration is available. What does your new company owe Maharashtra in the first weeks?
This is where Mumbai incorporations differ from the national picture, and where most checklists go quiet.
- Every Maharashtra company takes PTEC on incorporation, its own flat enrolment of ₹2,500 a year with no return to file. Each director enrols individually as well, and both certificates live on mahagst.gov.in.
- PTRC arrives the day payroll starts, authorising deduction of profession tax from salaries at ₹200 a month and ₹300 in February. Women earning up to ₹25,000 a month are exempt from the deduction.
- The premises need a shops and establishments filing, the one Mumbai still calls the Gumasta. Below 20 workers you file an intimation of commencement and hold the receipt; from 20 workers you apply in Form A for a registration certificate. That 20 worker line took effect on 1 October 2025 and most older guides still print the stale figure.
- Municipal permissions follow the corporation where your premises sit, Thane Municipal Corporation in Thane, NMMC in Navi Mumbai, never the BMC by default. A plain office usually needs no BMC trade licence at all, since section 394 confines that licence to hazardous, offensive and storage trades.
