The first routing decision in a Section 8 filing is made by geography, not by you. Since 16 February 2026 the city has had two company registrars, and the district of your registered office decides which one examines the licence application. An office in Dadar answers to ROC Mumbai-I. An office in Thane or Nerul answers to ROC Mumbai-II. Address the file on the old single registrar assumption and it waits in the wrong queue before scrutiny even begins. LegalX India routes it correctly at the first attempt, drafts objects the way licence examiners expect to read them, and brings back the incorporation certificate in 15 to 20 days from ₹2,999.
Which of Mumbai's two registrars takes a Section 8 filing?
Most online guides still describe one ROC for the whole region, and that stopped being true on 16 February 2026. The working test is short. Greater Mumbai, meaning the BMC area, is exactly the two districts of Mumbai City and Mumbai Suburban, and both belong to ROC Mumbai-I. Every other district in the wider region belongs to ROC Mumbai-II at Navi Mumbai, whose charge runs across Thane, Palghar, Raigad, Nashik, Dhule, Jalgaon, Nandurbar and Chhatrapati Sambhajinagar. A foundation in Ghatkopar therefore files with the first office, while a charity forming in Panvel files with the second.
Whichever desk holds your district also handles the licence scrutiny, any queries on your object clauses, and your compliance filings for years afterwards. The forms themselves never require a visit. SPICe+ and everything that follows moves through the MCA V3 portal, and the CIN you receive carries the MH state code.
What does Section 8 company registration cost in Mumbai?
The professional fee is ₹2,999, and it does not grow quietly during the engagement. Here is where the money actually goes.
| Component | What it covers | What you pay |
|---|---|---|
| LegalX India fee | Object drafting, name reservation, the licence leg, SPICe+ filing, PAN and TAN | ₹2,999 |
| Digital signatures and DIN | DSC and DIN for two directors | Included in the fee |
| MCA charges | Levies the portal raises on the incorporation forms | At actuals, shown before filing |
| PTEC after incorporation | The company's own enrolment on mahagst.gov.in | ₹2,500 a year |
| 12AB and 80G applications | Forms 10A and 10AB on the e-filing portal | Quoted separately on request |
One line worth pausing on: no minimum capital exists for this company form, so nothing in that table scales with what the founders put in.
Who is choosing the Section 8 route in Mumbai?
The profiles repeat, and they look like this.
- An NGO founder in Dadar whose education programme has outgrown informal collections, because corporate donors now ask for CSR eligibility and an 80G receipt before they commit a rupee
- A film and media production house in Goregaon creating a crew welfare foundation, keeping the charitable arm legally separate from the production business
- Doctors running free clinics in Ghatkopar who want grant applications signed by an entity rather than by individuals
- A Bandra residents' group converting years of ad hoc fundraising into a body that can hold a bank account and sign a lease in its own name
Underneath each of these sits the vehicle question, and it reads differently in this state. Registering a public trust is compulsory here under the Maharashtra Public Trusts Act, 1950, with the Charity Commissioner administering the register through a Greater Mumbai region. The same Act sweeps in charitable societies, so a society ends up registered twice over, once with the Registrar of Societies machinery and once with the Charity Commissioner. Founders comparing the three vehicles keep landing on the same conclusion: the Section 8 company is the form built and supervised under company law, and it is the one CSR committees clear fastest.
Which documents does the licence application need?
Nothing exotic, but the file is judged on internal consistency, and mismatches invite queries.
- PAN and Aadhaar for every proposed director, along with photographs and current contact details
- Digital signatures for the signatories, which we arrange within the fee
- Proof of the registered office: a recent utility bill plus an NOC from the owner
- The draft objects and the declarations that support the licence request
Many Mumbai nonprofits work out of premises held on leave and licence, and that agreement deserves attention before anything is filed. Maharashtra makes leave and licence agreements compulsorily registrable, with the obligation resting on the landlord. When the registered agreement, the NOC and the utility bill all point the same way, the application moves without a resubmission cycle.
How does the registration run from day one?
- A structure call first, where a CA or CS confirms the company form fits your mission and donors, and says so plainly if another vehicle would serve you better.
- Name work next: we test your preferred names against the naming rules for licensed companies and reserve one on MCA V3.
- Drafting follows, covering the objects, the memorandum and articles, and every declaration the licence examiner reads closely.
- SPICe+ then goes in with the licence request to the registrar holding your district, and we field each query the office raises.
- Handover closes it: the incorporation certificate with the licence, plus the company PAN and TAN.
Most of the elapsed time sits with government processing, which is why the honest estimate stays 15 to 20 days rather than a week.
What does a new Mumbai Section 8 company owe straight after incorporation?
The certificate starts a state clock that surprises founders who expected a nonprofit to be left alone. Maharashtra enrols every company for PTEC on incorporation. That certificate costs a flat ₹2,500 a year with no return attached, each director takes a personal enrolment in individual capacity, and everything runs on mahagst.gov.in. PTRC is the separate employer certificate and matters only once you pay staff; Maharashtra exempts women earning up to ₹25,000 a month from the deduction.
The Shops and Establishments layer follows. An establishment engaging fewer than 20 workers files an intimation of commencement and holds the receipt, while one at 20 workers or above obtains registration in Form A. Older guides still print a lower threshold, and it ended on 1 October 2025.
Donor tax status is a second application, not a birthright. Forms 10A and 10AB are filed on the income tax portal, and the decision belongs to the jurisdictional Commissioner of Income Tax (Exemptions); Mumbai has that office locally. We keep the incorporation record ordered so the 12AB and 80G file lifts straight out of it. The eligibility rules and the comparison with trusts and societies sit in our complete Section 8 Company Registration guide for India.
Why LegalX India for a Mumbai Section 8 company?
Because this filing punishes generalists. The licence leg fails on drafting, the state layer fails on sequencing, and either failure costs weeks. Our CA and CS team runs company and licence work every week, more than 15,000 clients have come through the practice, and the Google rating stands at 4.8. The engagement is priced at ₹2,999 before work begins and handled online from document collection to certificate. The first conversation costs nothing: ask, and an expert phones you inside 30 minutes.
If you would rather talk across a table, the office sits on the second floor of Haware Fantasia Business Park, Sector 30A, Vashi, Navi Mumbai 400703, and the number is +91 96356 85435. One thing our location never decides is your jurisdiction: the registrar follows your registered office district, wherever we happen to sit.
