An OPC is open to exactly one person, and that person has to be an Indian citizen who is also resident in India. Resident here means 182 days or more in the country during the previous financial year. If two of you are building the business, or the founder holds a foreign passport, or the owner is a minor, the structure does not fit. You may hold one OPC and stand as nominee for one other, and no more. The rest of this page assumes you clear that line and that the registered office you are about to declare sits in Pune district, because that address decides your registrar.
Which structure do you have to settle before the paperwork starts?
The real comparison for a solo owner in Pune is not OPC against private limited. It is OPC against carrying on as a proprietor. A proprietor and the business are one person in law, so a client dispute reaches personal savings directly. An OPC puts a company in between, with one member, one director and a named nominee on record from day one. The trade off is filing discipline. An OPC files AOC-4, MGT-7A, an auditor appointment and a director KYC every year, whether or not it billed anything. Growth has a ceiling built in as well. Past ₹2 crore of turnover or ₹50 lakh of paid up capital the structure stops fitting and a private limited company becomes the sensible next home. Settle that question before the name reservation, not after.
Which papers do the member and the nominee have to produce?
This list sits ahead of price and process for a reason. Proof of the registered office is what sends a Pune incorporation back for resubmission.
- PAN and Aadhaar of the sole member, a passport size photograph, and the mobile number and email that will carry the OTPs
- A bank statement or utility bill in the member's own name, not older than two months, serving as address proof
- The nominee's PAN, Aadhaar, address proof and written consent, which the incorporation form will not go through without
- The latest electricity bill for the registered office premises, with a no objection letter from the owner where the premises are rented
- A rent or leave and licence agreement matching that address exactly, down to the flat number and the pin code
Section 55 of the Maharashtra Rent Control Act 1999 makes a leave and licence agreement compulsorily registrable, and the duty to get that done rests on the landlord. So when you take a desk in Kharadi or a cabin in Baner, ask the owner for the registered copy and the current electricity bill in one go. Where those two papers disagree on the address, a Pune file comes straight back.
What does an OPC cost in Pune?
Our professional fee starts at ₹2,999, and the table below shows what that figure carries and what sits outside it.
| Component | Who charges it | Where it sits against ₹2,999 |
|---|---|---|
| Digital Signature Certificate for the sole director | Certifying authority, arranged by us | Included |
| Name reservation and the SPICe+ incorporation filing | MCA, on the V3 portal | Included |
| MOA and AOA drafting, nominee consent, professional work | LegalX India CA and CS team | Included |
| Company PAN and TAN | Issued along with incorporation | Included |
| Stamp duty on the incorporation documents | Maharashtra, by instrument and value | Quoted before we file |
| PTEC and PTRC enrolment after incorporation | Maharashtra tax department | Quoted separately |
The instrument you sign, and the value it carries, together set what Maharashtra charges as stamp duty. We work that figure out before execution and pay it through GRAS. Anyone quoting a flat percentage has not read your documents.
How does your OPC move from name check to certificate?
- We confirm eligibility, lock the structure and shortlist names on the first call, then send a checklist written for your address rather than a generic one
- You upload the papers and we review the registered office set against itself, because that is the pairing that fails most often
- We reserve the name inside SPICe+ Part A and hold two fallback options in case the first choice draws an objection
- The full SPICe+ suite with MOA, AOA, nominee consent, PAN and TAN goes to ROC Pune through the MCA V3 portal, and the Certificate of Incorporation follows
Your registered office is in Pune district, so who registers the company?
Declare an address anywhere in the district and the file belongs to ROC Pune, which MCA still publishes with its own Registrar and its own contact details. The CIN that comes back carries the state code MH. Every form travels on the MCA V3 portal, so there is no counter to stand at and nothing to carry across the city. Two offices above the registrar are worth knowing before you need them. Matters that go to the Regional Director, such as a later shift of the registered office out of the state, belong to Western Region Directorate II at Navi Mumbai. Company petitions and insolvency matters for Maharashtra and Goa go to the NCLT Mumbai Bench, because no NCLT bench sits at Pune. Pune district also holds two municipal corporations, PMC and PCMC, sixteen tahsils and three cantonment boards, but none of that decides your registrar. Municipal geography matters later, for property tax and for a trade licence if your trade is on the licensable list.
Which filings fall due in the months after the certificate arrives?
Getting incorporated is the quick part. The stack behind it is where a solo owner in Pune loses weeks.
- INC-20A, the declaration of commencement of business, once the subscription money is actually sitting in the company account
- ADT-1 for the first auditor, then AOC-4, MGT-7A and DIR-3 KYC on the annual cycle from there
- PTEC enrolment for the company's own profession tax, then PTRC once a salary is paid, and we take whichever of the two your facts call for
- GST registration where turnover or the supply pattern requires it, on the national portal, with a Maharashtra GSTIN that begins with 27
- Shops and Establishments registration, which runs through the state Labour Department and goes online to a Facilitator rather than to a municipal counter
Payroll thresholds catch new Pune employers in the opposite order to the one most people expect. Under the Code on Social Security 2020, ESI attaches from the tenth person on the roll, and EPF only from the twentieth. EPFO runs four Regional Offices across Pune district, and the ESIC Sub Regional Office, Pune takes the ESI side, so neither registration means a trip out of the city.
Who is registering an OPC in Pune right now?
- A design and engineering consultant in Kothrud who bills three corporate clients directly and wants the liability kept off her personal savings
- A second generation owner in Pimpri who is putting a tooling supply line into a company of its own while the family manufacturing firm carries on unchanged
- A software services founder working out of Kharadi who has signed a client that will not contract with an individual
- A product engineer near the Hinjawadi Rajiv Gandhi Infotech Park, freelancing for four years, who wants the structure settled before the first hire
What do you get when LegalX India files your OPC?
