Cross ₹20 lakh in service receipts and GST registration stops being a choice. The department can assess tax on supplies you have already billed, with interest and penalty riding on top. A proprietorship has no incorporation certificate to fall back on, because nothing is incorporated. Which structure do you have to settle before anything is filed?
Nobody registers a sole proprietorship as an entity. You are the business, so the decision that matters sits ahead of the paperwork rather than inside it. Settle three questions before you spend a rupee.
- Will you ever want a co owner or an outside investor? A proprietorship admits neither, and converting later costs more than starting in the right shape
- Do your customers onboard vendors through a portal? A Hinjawadi client will normally ask for a GSTIN and a bank account in the trading name
- Is the premises owned, rented or shared? The address proof drives both the Shops Act filing and any verification on the GST application
If two of you are in this together, the instrument is a partnership deed and the filing goes to the Registrar of Firms. Which papers must a Pune proprietor assemble first?
The list is short. The failures are almost always in the address proof rather than the identity proof.
- PAN and Aadhaar of the proprietor, with the mobile number linked to Aadhaar so the portal OTP actually reaches you
- A recent photograph and one further identity document, usually the passport, voter ID or driving licence
- Proof of the business address, which is the property tax receipt or the electricity bill where you own the premises
- A registered leave and licence agreement plus a letter of no objection from the owner where the premises is rented
- The trading name you intend to use, checked against existing marks before signage and invoice books are printed
- Bank details, because the current account follows the registrations rather than leading them
Your landlord, not you, carries the duty to register a leave and licence agreement. Section 55 of the Maharashtra Rent Control Act 1999 makes that registration compulsory statewide. Two costs sit outside that table and both deserve a line in your budget. Stamp duty and registration on a leave and licence agreement, where the premises is rented and the document is not registered yet. And a trade mark application, where the trading name is one you intend to defend.
Which of the four registrations is filed first, and why?

- GST and Udyam are filed first, since these are the two papers most bank branches read as proof that the business exists.

Where does each of the four filings actually land?
No office registers the proprietorship itself. Readers find that hardest to accept, and it is exactly why this service is four small filings wearing one name.
- GST registration is made on the national portal at gst.gov.in. A Maharashtra GSTIN opens with 27, the state code. The file is then worked by a Maharashtra state GST officer, or by a CGST officer
- Udyam registration is national, free and online, and most lenders read it as the plainest evidence that a small business is real
- Shops Act registration is made online to the Facilitator. The designated officer is the Inspector of Shops, and an appeal runs to the district Government Labour Officer and then the Assistant Commissioner of Labour
- A trade licence, where the trade needs one, belongs to the local body. PMC and PCMC run under the Maharashtra Municipal Corporations Act 1949, and a business in Camp, Khadki or Dehu Road answers to its cantonment board
Two corrections save Pune readers real money here. The trade licence power is section 376 read with Schedule D Chapter XVIII, and that schedule is a closed list. An office, a software services business, a consultancy or a professional practice is not on it and needs no trade licence at all.
ROC Pune enters your life only if you convert. It is the registrar for companies whose registered office is in Pune district, and such a company carries state code MH in its CIN. Until that day arrives, no MCA form has your name on it.
What does a new Pune proprietorship owe in its first months?
The registrations are the easy half. What follows is a Maharashtra calendar that catches proprietors who have never kept one.

Your Shops Act certificate is valid for a period you choose, capped at ten years, and it is renewed before expiry. There is no such thing as a permanent certificate.
Payroll brings thresholds of its own, and they run the opposite way round from what most owners expect. ESI coverage starts at ten or more persons, fixed by the Code on Social Security 2020. EPF coverage starts at twenty. Registration under the Maharashtra Labour Welfare Fund Act 1953 is a listed Labour Department service. The four labour codes are in force while the state rules that operationalise them are still being framed, and we track that position instead of guessing at it.
